Terms and Conditions
1. Identification of the parties
These general terms and conditions and license of use (the "Terms and Conditions") are entered into, on the one hand, by OUTZERO, S.L., with registered address at Carrer Eduard Serra i Guell, 16, Alella, 08328, Barcelona, Spain, tax identification number B26926014, and contact email address info@outzero.app (hereinafter, "Outzero"), as owner of a website and downloadable mobile application configured as a digital platform aimed at consulting and discovering places where users can explore, record, and share locations, routes, and points of interest, facilitating their informative use and interaction among travelers and communities, and, on the other hand, by the USER, who may be a legal or natural person and who freely and voluntarily downloads, installs, or accesses the website or app, regardless of whether they use the services.
By creating a profile on Outzero, the User accepts these Terms and Conditions and declares that they are of legal age under Spanish law, that they have read the information about the processing of their personal data described in clause 9 below, and that they fully accept its contents after reading them. Outzero recommends reviewing them periodically.
2. Outzero
### 2.1.
The main purpose of Outzero is to allow Users to explore, consult, and share routes, photographs, locations, and points of interest, which may be provided by the platform itself or by other Users, thus facilitating access to relevant information for the planning, monitoring, and enjoyment of outdoor activities.
### 2.2.
Although downloading, installing, using, and registering with Outzero is free of charge, subscribing to premium services requires payment of the applicable price. The price and subscription conditions will be provided beforehand so that you may accept or reject them. Where subscriptions are distributed through third-party app stores or payment platforms, renewal, cancellation, restoration, billing, and refund conditions may also depend on the applicable store or provider terms, without prejudice to the information that Outzero makes available in the purchase flow.
### 2.3.
Outzero also offers means of contacting the owner of the App in order to submit questions, complaints, or suggestions.
### 2.4.
The Outzero website and App are designed to be used on certain devices such as computers and mobile devices (mobile phones and tablets) with Internet access. However, Outzero does not include Internet access or access to mobile telephone networks, so the User must pay the fees charged by the relevant Internet access provider or mobile operator. Please check your provider's access and pricing conditions in advance.
### 2.5.
We also inform you that Outzero may include its own advertising or advertising from third-party companies and, where applicable, promoted or sponsored content. Such content will be clearly identified as advertising, sponsored content, or an equivalent label, in accordance with applicable regulations.
### 2.6.
Certain functionalities may depend on permissions or device features, such as geolocation, background location during active route tracking, push notifications, access to selected media, or connectivity to mapping, payment, or messaging services from third parties. If the User does not grant the required permissions, some functionalities may be limited or unavailable.
3. Intellectual and industrial property and license of use
### 3.1.
By accepting these Terms and Conditions, and provided that the User complies with all obligations set out in this document, Outzero grants the User a non-exclusive right to use Outzero, with no right of assignment or sublicense, for as long as Outzero remains installed on the User's device. Under this license, the User is authorized to download and install the App without limitation on their mobile device and/or tablet, although measures may be implemented to limit the number of simultaneous connections from a single location or IP address.
### 3.2.
This license of use does not imply the transfer of any intellectual or industrial property rights over the website, the app, or any content present on them. The intellectual property rights over Outzero and all elements composing it, including, without limitation, the programming, design, applications, graphics, code, texts or images contained therein, as well as the content published and the associated technology, are the exclusive property of Outzero or are used under sufficient rights or authorizations for their exploitation. Consequently, the reproduction, distribution, public communication, making available, or transformation of Outzero or any element integrated into the website or app is prohibited.
### 3.3.
Likewise, the domain name, trademarks, trade names, and in general any distinctive signs found in Outzero are owned by Outzero or used under the necessary licenses.
Ownership of the images uploaded to the Platforms belongs to the User who uploaded them, so any rights or, where applicable, infringements of third-party intellectual property rights shall be the responsibility of the user, not Outzero.
### 3.4.
Without prejudice to the ownership that may correspond to the User over the content they publish on Outzero, by uploading, publishing, or sharing content through the platform, the User grants Outzero a non-exclusive, worldwide, royalty-free license for the time necessary for the proper provision of the service, to host, store, reproduce, technically adapt, publicly communicate, make available, and display such content solely for the purpose of operating, maintaining, improving, and promoting the service.
4. User obligations
To use certain services, the User must register by creating a username and password and activating their account. Notwithstanding the foregoing, use of the App and website does not require an active account; however, the conditions set out in these Terms and Conditions must always be complied with.
### 4.1. The User undertakes to:
- Be at least 18 years old. - Not upload, publish, share, or disseminate through the application any content including nudity, sexual material, unlawful or illegal content, or images that may be offensive, inappropriate, or contrary to morality, public decency, or public order. - Refrain from using the platform to disseminate content that infringes third-party rights, including, among others, image rights, privacy, or intellectual property rights. The user is responsible for the images uploaded to the application and must ensure that they are the author of such images or, where appropriate, that they have the necessary permissions to use them. - Use the application responsibly, avoiding any content that may be considered disturbing, misleading, or inappropriate for the purpose of the service. - Provide truthful information when registering on the Outzero website or app. - Use route tracking, geolocation, background location, and any outdoor activity features responsibly, safely, and in accordance with applicable law and the User's actual circumstances. - Only one registration per user is allowed. It is not permitted to register multiple times under different identities or use Outzero in bad faith or for malicious, unlawful, or otherwise prohibited purposes under these General Terms of Use. If improper use of Outzero is detected, Outzero may adopt proportionate measures, including content removal, limitation of functionalities, temporary suspension, or, in serious or repeated cases, account cancellation, in accordance with these General Terms of Use and applicable law. - Periodically review these Terms and Conditions, or any other applicable conditions, checking the changes they may have undergone. - Review any notifications sent by Outzero, as they may include important information. - Not modify or attempt to modify Outzero in any way, nor carry out actions or use means aimed at simulating the appearance or functions of the App. - Refrain from carrying out any action involving the introduction of computer viruses, worms, trojans, or any other kind of malicious code intended to interrupt, destroy, or limit the functionalities of Outzero. - Not use reverse engineering techniques and/or decrypt, decompile, or use any other system intended to discover the source code of Outzero or any element subject to copyright or underlying intellectual property. - Not damage, disable, overload, or hinder the service (or the network or networks connected to the service), or interfere with its use and enjoyment.
### 4.2. Regarding their Outzero profile, the User undertakes to:
- Not identify themselves using false or inaccurate data or by impersonating third parties. - Use only the profile created in their own name. The user is responsible for not sharing their access credentials with third parties. - Not sell, market, or transfer the User profile on Outzero to third parties. - Be solely responsible for any activities carried out from their User profile and keep it updated at all times. - Maintain strict confidentiality of their data and access keys, since they assume liability for damages arising from any breach of such confidentiality. The user must immediately notify Outzero of any unauthorized use of their account or any security breach related to the website service of which they become aware, and must also change their access credentials. - Be responsible for damages suffered by themselves or by third parties as a result of breach of these General Terms of Use or any other applicable terms. - Maintain only one active registration and one account at all times.
Once all requirements have been met and registration has been completed, Outzero will send the User confirmation of registration, together with any other information required under applicable law.
### 4.3. Account deletion and cancellation
Outzero may deny registration, temporarily suspend an account, or permanently cancel it where there are reasonable indications of breach of these General Terms of Use, applicable law, or unauthorized, fraudulent, or improper use of the account, taking into account the seriousness, repetition, and circumstances of the case. Where legally required or appropriate, Outzero will inform the affected User of the measure adopted and of the available remedies.
The User may also request deletion of their account through the tools made available on the Platforms. For security reasons, Outzero may require re-authentication, email confirmation, or equivalent verification steps before proceeding. Once deletion is confirmed, Outzero may apply a grace period before permanent deletion. During that period, the deletion request may be cancelled in the cases enabled by the service, such as by logging back into the account.
### 4.4. Content moderation and applicable measures
Outzero may adopt measures regarding content or accounts where there are indications of unlawfulness, breach of these Terms and Conditions, risks to the safety of third parties, or risks to the integrity of the service. Depending on the seriousness of the case, such measures may consist of content removal, limitation of visibility, deactivation of functionalities, temporary suspension of the account, or permanent cancellation. In particular, pursuant to Article 23 of Regulation (EU) 2022/2065 (DSA), where a User repeatedly publishes manifestly unlawful content, Outzero will temporarily suspend their account for a reasonable and proportionate period, following prior warning. Repetition will be deemed to exist where the User has received at least two substantiated notices concerning unlawful content within a period of ninety (90) days.
### 4.5. Detection and review of content
Outzero does not assume a general obligation to carry out prior monitoring of all content published by Users. However, it may perform voluntary manual reviews, integrity or security checks, or specific checks linked to moderation, abuse prevention, media validation, or compliance with these Terms and Conditions, and may act on the basis of notices from users, third parties, or competent authorities, in accordance with applicable law. Except where expressly indicated otherwise, Outzero does not rely solely on automated systems to decide content moderation measures.
### 4.6. Notification channel and internal complaints
Any person may notify Outzero of allegedly unlawful content or content contrary to these Terms and Conditions through the channel enabled for that purpose in the app or website or through the contact address indicated by Outzero. Likewise, Users may internally appeal decisions to remove or limit the visibility of content, suspend or cancel accounts, or apply other moderation measures, through the channel that Outzero enables for that purpose.
### 4.7. Transparency in content moderation (Art. 15 DSA)
Outzero will publish an annual transparency report including the number of content removal or visibility limitation decisions, suspensions and account cancellations processed, notifications of unlawful content received, and average handling time. Such report will be publicly available in the application or on the Outzero website. This obligation will remain suspended while Outzero retains the status of a small enterprise under the Annex to Recommendation 2003/361/EC, in accordance with the exemptions provided for in Article 19 DSA.
### 4.8. Notice and removal for intellectual property infringement
Holders of intellectual or industrial property rights who consider that any content published on Outzero infringes their rights may notify this through the notification channel referred to in clause 4.6, identifying the infringing content and proving their ownership. Upon receipt of a sufficiently substantiated notice, Outzero will act diligently to review the content and, where appropriate, remove it or limit its visibility, in accordance with Article 16 of Regulation (EU) 2022/2065 (DSA) and Article 16 of Law 34/2002 (LSSI). The processing of the notice does not imply acknowledgment of the existence of any infringement.
5. Third-party links
### 5.1.
Outzero may contain links to third-party pages or websites. Outzero assumes no responsibility for them, their content, their proper functioning, or the consequences arising from access to them.
### 5.2.
With regard to links published by Outzero, the User acknowledges and accepts that such links lead to external third-party sites and that Outzero does not approve or review the functions, advertising, or, in general, the material included on third-party pages, even if linked from Outzero. Therefore, Outzero cannot guarantee that such sites are free of computer threats, viruses, or malware, or that they do not host unlawful or inappropriate content or other links.
6. Responsible use of geolocation functions
If the User accepts the use of geolocation, they accept the security and other risks associated with the use of geolocation functions, tools, and technologies provided by Outzero or third parties, including the recording or sharing of GPS-based activities, active route tracking, the possible use of background location while a route tracking session is active, and the use of other map- or location-based functions. Outzero is not responsible for such risks. The User agrees to use such functions safely and responsibly, according to their personal circumstances and applicable law. The provisions of this section do not invalidate the exclusions and limitations of liability contained elsewhere in these Terms and Conditions. The User may obtain more information about the processing of geolocation data in the Outzero Privacy Policy.
If the User does not accept the use of geolocation, certain location-based features may be unavailable or may use a general default location or manually selected location, without prejudice to the fact that the User may later modify such settings.
6. Consumer rights
### 6.1.
Consumer Users will have fourteen (14) calendar days from the contracting of paid services to exercise their right of withdrawal without giving reasons, pursuant to Articles 102 et seq. of the TRLGDCU, unless an exception provided by applicable law applies. If the User requested the service to begin within that period, they will pay the proportional amount corresponding to the part already provided.
### 6.2.
Before any paid contracting, Outzero will provide the required pre-contractual information.
7. Exclusions of liability
### 7.1.
Outzero works to ensure that Outzero services and functionalities are always available. However, Outzero is provided "as is", according to availability and the limitations existing at any given time.
### 7.2.
Outzero disclaims all liability for improper access to content as a consequence of the User registering with false or inaccurate data regarding their age or any other detail.
### 7.3.
Outzero shall not be liable for any damage or liability arising from misuse of the application by the User, or from the breach of obligations or commitments assumed under these Terms and Conditions or any others that may apply. Outzero shall only be liable for obligations provided by law.
### 7.4.
In general, neither Outzero nor its collaborators shall be liable for loss of profits or consequential damages for any reason.
### 7.5.
Users are responsible for the content, comments, images, routes, locations, and other materials they publish on Outzero. Without prejudice to the foregoing, Outzero may review and act on such content where it becomes aware of its possible unlawfulness or incompatibility with these Terms and Conditions, whether on its own initiative, following third-party reports, or at the request of competent authorities.
### 7.6.
Outzero does not carry out general prior monitoring of all content published by Users, without prejudice to the possibility of applying voluntary manual reviews in certain cases. When it receives a sufficiently substantiated notice or detects reasonable indications of breach, Outzero may review the affected content and, where appropriate, remove it or limit its visibility.
### 7.7.
Outzero does not guarantee the accuracy, truthfulness, lawfulness, or reliability of content published by Users and shall not be liable for it except in cases provided by law. The existence of reporting mechanisms or voluntary review actions does not imply a general assumption of prior control over all content published on the platform.
### 7.8.
Outzero shall not be liable for physical harm, injuries, accidents, or any other damage that the User may suffer while carrying out a route or activity. Although the platform incorporates an indicative difficulty level for each route, such rating is merely informative and not exhaustive. Terrain conditions, the User's physical condition, weather circumstances, or other factors may generate risks not reflected in that rating. It is the sole responsibility of the User to assess their ability and preparation before starting any activity, and to adopt the appropriate safety measures. Any route is undertaken entirely at the User's own risk.
### 7.9.
Certain activities or locations referenced on the platform, including by way of example areas for rock jumping or other places for risky activities, involve by their very nature an intrinsic and elevated risk. Outzero merely provides information about such places and does not organize, supervise, or control the practice of such activities. The User assumes full and exclusive responsibility for any damage, injury, or loss they may suffer as a consequence of participating in risky activities, regardless of whether such activities have been identified as such on the platform. Outzero is expressly exempt from any liability arising from such activities.
8. Indemnification
### 8.1.
If Outzero suffers any type of damage, loss, cost, or expense, including lawyers' and court representatives' fees, as a result of the User's breach of these General Terms of Use or any other applicable terms, the User shall be obliged to indemnify Outzero.
### 8.2.
The same shall apply where third-party claims are brought against Outzero as a result of the User's breaches, in which case the User shall be obliged to fully indemnify both the third parties and Outzero for any expense, cost, damage, or loss arising from their actions.
9. Duration, termination, and exclusion
### 9.1.
These Terms and Conditions shall remain in force for as long as the User maintains an account with Outzero.
### 9.2.
At any time, the User may request cancellation or deletion of their account through the tools in the app intended for that purpose, including the "Delete my account" button, subject to the security, confirmation, and grace-period steps described in these Terms and Conditions and the Privacy Policy.
### 9.3.
Outzero reserves the right to terminate these Terms and Conditions, block or delete the User's account, or limit certain service functionalities where there is a breach of the conditions set out herein or any other applicable conditions, applying in each case measures proportionate to the seriousness and repetition of the breach.
10. Data protection
### 10.1.
The collection and processing of the User's personal data collected by Outzero is governed by the Outzero Privacy Policy, which you may consult at any time at https://raw.githubusercontent.com/outzero-app/outzero-legal-docs/main/en/privacy-policy.md.
11. Safeguard and interpretation
### 11.1.
These Terms and Conditions constitute a single agreement between the User and Outzero.
### 11.2.
If the competent authority declares any provision of these Terms to be illegal, invalid, or unenforceable, such provision shall be interpreted in the manner closest to its original intent. However, such declaration regarding one or more clauses shall not affect the validity of the remaining clauses.
### 11.3.
Failure by Outzero to require strict compliance with any of the terms of these Terms and Conditions shall not in any case constitute or be interpreted as a waiver of its right to require such compliance in the future.
12. Interruptions and modifications
The services of the Application or the website may be interrupted due to maintenance work or failures beyond Outzero's control, which will be resolved within a reasonable period.
Outzero reserves the right to modify, at any time, the characteristics, functions, or scope of the services of the Application or website, as well as these Terms and Conditions. When such modifications affect the User's rights or obligations, Outzero will communicate them by reasonable means before they enter into force or when legally required.
13. Applicable law and jurisdiction
The relationship between Outzero and the User shall be governed by Spanish law. In the event of any dispute concerning the interpretation or performance of these Terms and Conditions, jurisdiction shall lie with the courts and tribunals applicable under consumer protection law and other mandatory rules that may apply.
14. Possibility of resorting to dispute resolution bodies
### 14.1.
Without prejudice to the User's right to go to the competent authorities or courts of law, the User may challenge decisions on content moderation, suspension or restriction of accounts, removal or limitation of content visibility, or other decisions adopted by the Platform in application of these Terms and Conditions, through the internal complaint system that Outzero makes available to Users where legally required or appropriate.
### 14.2.
Without prejudice to the foregoing, the User may choose to submit disputes relating to decisions on content moderation, suspension or restriction of accounts, removal or limitation of visibility of content, or any other decisions adopted by the Platform in application of these Terms and Conditions, to an out-of-court dispute settlement body duly certified in accordance with Regulation (EU) 2022/2065 on Digital Services (the "DSA"), where such mechanism is legally applicable. More information about that mechanism is available at: `https://digital-strategy.ec.europa.eu/es/policies/dsa-out-court-dispute-settlement`.
15. Online dispute resolution (ODR)
### 15.1.
In accordance with Regulation (EU) No. 524/2013 on online dispute resolution for consumer matters, Users who qualify as consumers and reside in the European Union may use the European Commission's online dispute resolution (ODR) platform to resolve disputes arising from online contracting out of court. The link to that platform is: `https://ec.europa.eu/consumers/odr`. Outzero's contact email address for these purposes is the one indicated in clause 1.
16. Distribution through app stores
### 16.1.
The Outzero application may be downloaded through third-party app stores such as the App Store (Apple Inc.) or Google Play (Google LLC). The license agreement and these Terms and Conditions are entered into exclusively between the User and Outzero, and not between the User and the relevant app store. Neither Apple Inc. nor Google LLC assumes any responsibility in relation to the application or its content, nor are they obliged to provide any maintenance or support service in relation to it. In the event of non-conformity of the application with these Terms and Conditions, the User may contact Outzero through the contact channels indicated in clause 1. The app stores are third-party beneficiaries of this clause for the purposes provided in their own developer terms.
